Where Strategy Becomes Real Transaction Value

The Opportunity


A Florida-based healthcare services firm generating approximately $4.6 million in annual revenue was seeking a full exit due to founder retirement. The business had strong recurring revenue, a lean staff, and long-term contracts—but was highly reliant on the owner for client relationships and lacked clean financial presentation.


Seaside was brought in to reposition the business, manage buyer conversations, and support a full exit.


The Solution


We conducted a comprehensive valuation and repositioned the company as a low-overhead platform for private equity-backed regional buyers. Our team:

  • Recast financials to normalize adjusted EBITDA from $850K to $1.2M
     
  • Created a buyer-side deck that highlighted recurring revenue, compliance stability, and future expansion potential
     
  • Worked with the owner to build a succession plan that reduced buyer risk
     
  • Managed all buyer communications, diligence, and deal structuring on the seller’s behalf
     

We identified five strategic buyers within the first three weeks of going to market and negotiated full purchase offers from two.


The Result


The company was acquired at a 6.4x EBITDA multiple with 90% cash at close and a 12-month consulting agreement for transition. The owner exited with no seller financing, and post-close performance exceeded expectations.
